    The Company works on drop shipping business model, wherein its role is limited to getting orders, maintaining the required inventory, arranging shipment & dispatching goods to the end users of its clients. The company ensures that the goods supplied are sourced from genuine suppliers, packed in a professional & hygienic condition & dispatched as per the laws of Indian Customs.

    Export of the Products to B2B Customers


    The prospective clients will visit b2bindianmeds.com & show the interest in our products based on the information shared on the website, which would be further communicated to the concern marketing team or associates or individual related to b2bindianmeds.com.

    Upon receiving the inquiry from the prospective buyers, the marketing team or its associates will share more specific details about the products, pricing, images, shipping policy, payment terms & other necessary details.

    Upon closing the discussion on initial offers, the company or its associates will send the required offer to the prospective buyer, which after analysing, the deal will be finalized by the mutually agreed terms between the company & the buyer.

    Shipping & Replacement Policy


    Within 24 hours of receipt of advance payment & a Purchase Order via email or a web based processing system or via google spreadsheet accessible to both of the Parties, the company or its associates shall ship Products in respect of which it has received in a Purchase Order directly to be shipped to the delivery address, provided that all Products shall be shipped via the EMS Speed Post or Registered Mail services or Singapore post or USPS or via private courier companies like DHL or FedEx or other delivery services and further provided that the company or its associates shall, until delivery is complete, supply the client with a tracking number in respect of each package containing Products shipped such that client may perform real-time, end-to-end tracking of each such package from the point of origin to the client’s designated place of delivery. Notwithstanding the foregoing, in the event that the company or its associates is unable to obtain any Product in respect of which a Purchase Order has been received within 24 hours as set forth herein, the company shall forthwith give notice thereof including an estimate of the delay this may cause via the appropriate problem-reporting section in the clients order processing system and shall also send an e-mail containing similar disclosure to client at the address set forth.

    The Company undertakes to ship Products in respect of which it has received a Purchase Order to the Buyer’s designated place of delivery no later than 25 Business Days following the date of shipment by the Supplier of such Products, which date shall be made known to Buyer.

    All deliveries of the Products from the Supplier to the client shall be Designated Delivery Place (DDP). For added certainty, the Buyers designated place of delivery shall be set forth in each Purchase Order, and risk of loss shall remain with the Supplier until the Products are cleared for import and put into the possession of the buyers at his designated place of delivery, at which point the company shall be deemed to have completed goods delivery to the customer.

    The company or its associates undertakes to track the shipping progress of all packages containing Products and inform buyers forthwith upon the occurrence of any delays or loss of shipment that may cause the seller to become in breach of the timely delivery obligations set forth in the shipping policy. If a package has not been delivered to the buyers within the 25 Business days, such package shall be deemed to have been delayed or undergoing customs protocol of the addressee country.

    The company or its associates or its agents or third-party contractors shall prepare all necessary export documentation required by laws in India. Clients or Buyers shall prepare & provide all the necessary documentations required for import of the supplies ordered as per the laws applicable to the jurisdiction.

    Packages containing Products shall adhere to the highest standards of hygiene, cleanliness, content and appearance that would be expected from the best and most skilled and experienced providers of pharmaceutical products, including with respect to all safety rules and procedures, applying the high standards adopted by such providers in North America in shipping products similar to the Products contemplated herein, under the same or similar circumstances. For greater certainty, the Supplier shall specifically not ship or cause to be shipped any packages containing greeting cards, business cards, personal messages to the clients photographs, or any other items that would readily allow a reasonable person to ascertain the provenance of such package as being in the Republic of India (except as is required by universal postal convention or customs regulations in respect of the exterior or the contents of the package), unless previously authorized in writing by Buyer to do so. The company further undertakes not to ship or cause to be shipped any packages containing food or other perishables, in trace amounts or otherwise.

    The company or its associates undertakes to ship only those exact Products set forth in the Purchase Orders, in such quantities as may be set forth therein. For greater certainty, the company undertakes not to substitute Products manufactured by a firm indicated in a Purchase Order with Products manufactured by another firm, no matter how similar such Products may be, without obtaining the prior written consent of the buyer.

    Reship Policy


    The company or its associates undertakes to reship the specified products & its exact quantity given in the Purchase order under the following conditions, unless specified to be charged under certain circumstances

    i) Product is found to be ineffective, which shall be notified to the buyer no later than 5 business days from the date of delivery.
    ii) Product delivery is delayed by more than 25 working days from the date of shipping
    iii) Product failed to pass through the Importing Country customs, if due diligence is not been followed from the either exporter or importer side or the required documentation is missing.
    iv) Product is not delivered due to the absence of authorized person at the time of delivery & it is returned back to the sender, under this circumstance, the buyer has to pay the full money to the seller.

    Payment Terms


    The buyer has to pay 50 % of the sum in Advance with the purchase order & Balance payment upon delivery of all its goods to the respective point of delivery. The final settlement of each purchase order must be done no later than 30 working days.

    Buyer may, at its sole and unfettered discretion, send advance monies to the Company during the first calendar week of any month to fund the company’s or its associates ongoing Product inventories, as an inducement for the company to fill higher volumes of Purchase Orders (the “Discretionary Funding”). The Parties undertake and agree to reconcile and set off any such Discretionary Funding against any cash flows resulting from this Agreement, no later than seven Business Days following the end of each calendar month.

    In respect of each Purchase Order, for greater certainty, the shipping charge Portion shall always be $28 per EMS speed post for the parcel weighing up to 250 gms & quantity not exceeding 3-month supply or 90 units quantity of Products per order or the Product Cost Portion of the Products set forth in such Purchase Order.

    Payment terms for re ship orders :In the event of a delay or loss of parcel, Buyer may, at its sole discretion,

    (i) Instruct the Supplier to ship a second, identical Purchase Order or portion of Purchase Order to the Buyer’s Customer whose package(s) were delayed or lost (a “Re-Ship Instruction”), in which case the Supplier shall do so forthwith at half cost of the shipping charge to the Buyer’s and Buyer’s shall contribute 100% of the Product Cost Portion normally payable (as substantiated by appropriate invoices) in respect of the second, identical Purchase Order or portion of Purchase Order, the whole by way of automatic set-off against any monies owing to Buyer at the next weekly reconciliation, provided that the Supplier shall be solely responsible for all other costs or expenses associated with the shipment and delivery of the second, identical Purchase Order or portion of Purchase Order, or

    (ii) Arrange for the Buyer’s Customer to receive such second, identical Purchase Order or portion of Purchase Order by any other means it deems necessary and expedient, including the use of a third-party supplier.

    Refund & Compensation: In the event if the buyer is not satisfied with the product received due to its efficacy, or change in the specification, the buyer reserves the right to ask for the full refund or seek compensation in terms of free replacement of the same product. Beyond free replacement or refund of same value, the company will not be liable for any kind of further or extra compensation towards the buyer under any circumstances including ineffectiveness of the products.

    In the absence of any specification to the contrary, all references to dollar amounts or other money amount are expressed in terms of lawful money of the United States of America.

    Indemnity


    The Covenanters agree to defend, indemnify and hold harmless b2bindianmeds.com, The company Its associated entities independent contractors, service providers, consultants, licensors, agents, and representatives, and each of their respective directors, officers and employees, from and against any and all claims, losses, liability, damages, and/or costs (including, but not limited to, reasonable attorney fees and costs) arising from or related to (a) Covenanters access to or use of Website; (b) Covenanters violation of these Terms of Use or any applicable law(s); (c) Covenanters violation of any rights of another person/ entity, including infringement of their intellectual property rights; or (d) Covenanters conduct in connection with the Website.

    Other Parties accept and acknowledge that b2bindianmeds.com or The Company shall not be liable for any loss or damage caused to the User as a result of delay or default or deficiency or failure in the Services as a result of any natural disasters, fire, riots, civil disturbances, actions or decrees of governmental bodies, communication line failures (which are not caused due to the fault of b2bindianmeds.com or the Third Party Service Providers), or any other delay or default or deficiency or failure which arises from causes beyond the company’s or its associates’ reasonable control (“Force Majeure Event”).     Governing Law and Dispute Resolution


    These Terms of Use and any contractual obligation between the Parties will be governed by the laws of India, without reference to the conflict of legal principles All disputes will be subject to arbitration at Navi Mumbai in English by a sole arbitrator appointed by the Company under the Arbitration and Conciliation Act, 1996. Any legal action or proceeding related to Other Party(s) access to, or use of, the Website or these Terms of Use shall be subject to the exclusive jurisdiction of the courts at Navi Mumbai.
